An NDA (Non-Disclosure agreement) is a legal contract that stipulates
and outlines a set of confidentiality agreement between - at least - two parties. Also the NDA is referred to in some circles as CA (Confidentiality
Agreement), PIA (Proprietary Information Agreement) or an SA (Secrecy Agreement). Using whichever acronym or name, we adhere strictly to our clients’
confidentiality requirements and constantly look for ways to make sure your intellectual property and propriety information is protected.
As we work with a tonne of agencies, marketing, communications, sports and PR agencies all over the world, using branded USB as parting of their marketing
mix for their different clients. We provide the opportunity to sign an NDA for our clients and companies when – for one reason or the other – they want to
keep their promotional USB commission confidential. The legal contract affords our clients (agencies or private companies) peace of mind that we will not
disclose ‘informations’ enclosed in the legal agreement. The legal document goes beyond a mere promise from us but creates a confidential relationship and
commitment from us to our clients to protect intellectual property, trade secrets or propriety information.
As mentioned above, we develop promotional USB premiums for many major communications agencies, one of which do Comms/PR work for GSK. They were in the
process of developing a new drug/injection for the mass market. At USB EXTRA, we agreed to sign a 3 way agreement between the communications agency and
GSK. The crux of the ‘non-disclosure agreement’ signed is that we’re not allowed to discuss the name of the drug/injection. At USB EXTRA, we appreciate and
fully understand our clients’ weariness to make sure that their intellectual property is protected. We grasp the gravity of the situation and the
consequence of unguarded intellectual property after a significant amount of outlay investment,, brain power, time, money and resources. With the GSK Logo printed USB commission, the most we can say is that the USB housing
or mould we used was a syringe USB flash drive; the preloading of data onto the branded USB memory stick was done in-house by the communication agency and
GSK.
Another example of this is an agreement we signed with SEAT not to disclose the design of the SEAT Ibiza and any related preloaded data in 2007. The brief
set out by SEAT was for us to design a USB flash drive in the shape of the then new SEAT IBIZA; the plan was to furnish us with the 3D design of the car to
help us and expedite the process of remodelling the car shape into a USB mould. This initial plan of furnishing us with the 3D design images was withdrawn
after board level consultation at SEAT but we were given access to a back door website with over 200 images of the new car. The legal agreement we signed
covered that aspect of SEAT’s propriety information and every other information supplied to us.
As we’ve contractually agreed not to feature GSK’s branded USB commission, we have decided to feature the plain USB housing mould that was used for the
commission instead. The syringe USB drive can be seen below:-
